1. Introduction

These terms and conditions govern your use of the JVRCMS PRO platform (the "Service"), operated by JVR Corp (Pty) Ltd ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these terms. If you do not agree, you must not use the Service.

2. Acceptance of terms

By creating an account, signing in, or otherwise using the Service, you confirm that you have read, understood, and agree to these terms. If you are using the Service on behalf of an organisation, you confirm that you have authority to bind that organisation.

3. Account registration and security

You must provide accurate and complete information when registering for an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.

4. Acceptable use

You agree not to misuse the Service. Prohibited conduct includes, but is not limited to:

• Using the Service for any unlawful purpose or in violation of any applicable law.
• Transmitting fraudulent, spam, or malicious content.
• Infringing intellectual property rights or other proprietary rights.
• Interfering with or disrupting the integrity or performance of the Service.
• Attempting to gain unauthorised access to the Service or its related systems.
• Reverse engineering, decompiling, or disassembling any part of the Service.
• Using automated systems or software to extract data from the Service without authorisation.

5. Intellectual property

JVR Corp (Pty) Ltd retains all ownership rights in the Service, including all software, documentation, branding, and content. We grant you a limited, non-exclusive, non-transferable right to use the Service during the term of your subscription, subject to these terms.

6. Payment and subscriptions

Payments for the Service are handled directly by JVR Corp (Pty) Ltd via email-based invoicing. Subscription fees are invoiced in advance on a monthly or annual basis depending on your selected plan, and payable by the methods set out on the invoice.

You are responsible for all applicable taxes. Billing, cancellation, and refund matters should be directed to our billing team by email.

7. Service level

We strive to maintain high availability and performance, but we do not guarantee uninterrupted or error-free operation of the Service. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, to the fullest extent permitted by law.

8. Limitation of liability

To the fullest extent permitted by law, JVR Corp (Pty) Ltd shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability shall be limited to the total fees paid by you in the six months preceding the claim.

9. Indemnity

You agree to indemnify and hold harmless JVR Corp (Pty) Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Service, your breach of these terms, or your violation of any law or third-party rights.

10. Suspension and termination

We may suspend or terminate your access to the Service immediately if you materially breach these terms, fail to pay fees when due, pose a security or fraud risk, or repeatedly or seriously violate our policies. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will continue to apply.

11. Changes to these terms

We may update these terms from time to time. We will notify you of material changes by posting the updated terms on this page or through the Service. Continued use of the Service after changes constitutes acceptance of the revised terms.

12. Governing law

These terms are governed by the laws of the Republic of South Africa. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
